A syndication's economics are not in the general ledger. They are in the operating agreement: the preferred return, the catch-up, the promote, the waterfall tiers, and how capital accounts are maintained. The accounting exists to make that document computable, deal by deal.

One project, one entity, one set of investors is a tidy structure. With the GL built around the project from day one, per-deal profitability, distributions, and investor capital accounts all fall out of the books rather than being reconstructed in a spreadsheet each quarter.

Where it goes wrong

Capital accounts that live only in someone's spreadsheet

Distributions get paid before the preferred return is properly calculated. Contributions arrive at different times and the accounting never reflects the timing. Capital accounts are maintained outside the books, so the balance sheet and the investor statements disagree. And syndication-specific tax work at year-end becomes an archaeology project because the deal was never tracked at the level the K-1s require.

We'll create intuitive and industry accepted GL accounts, as well as complete any necessary catch-up bookkeeping (as needed).
